Federman provides corporate and transactional counsel to facilitate the structuring, financing and successful completion of acquisitions, divestitures, restructurings, mergers, joint ventures/strategic alliances and recapitalizations, debt and equity offerings and other similar commercial transactions. To the extent a lead investor or major shareholder may require the use of a large, multi-national law firm in connection with a particular merger or acquisition, our firm is often hired as outside general counsel to the company to liaise with the larger firm or to handle a specific aspect of the larger corporate transaction (e.g., real estate diligence, landlord consents, etc.).
