General Counsel and Secondment
Formed and launched residential real estate brokerage focusing on only on home sales and development parcels costing in excess of $10 million, negotiating departures from previous employer, competitor litigation, hiring of new agents, negotiating financing agreements, listing agreements, consulting agreements, and office space leases.
General Counsel and Secondment
Handled spin-off of a division of client’s company in order to later dispose of company as an independent operating business by establishing independent systems, practices and procedures, form documents, staff and executive agreements, and third-party outsourcing agreements.  During the following year, Federman served as interim general counsel, working out of the client’s headquarters 2 days per week and obviating client’s need to hire a general counsel for such a short period.  Ultimately, client sold the company to a private equity fund and Federman remains outside general counsel to the portfolio company.
Office Leasing/Tenant Representation
Negotiated 400,000 sf build-to-suit headquarters/switch-site lease in Dallas, Texas located in three separate buildings. Negotiated option agreement for the purchase of an adjacent parcel upon which tenant intends to build a fourth headquarters building.
Real Estate Acquisitions and Sales
Negotiated a joint venture agreement between client and public service development agency for the purpose of purchasing certain real estate assets, including certain government-assisted affordable housing properties throughout the United States, consisting of approximately 171 projects.
Ground Leases
Negotiated development ground lease on behalf of New York based real estate family for the development of a hotel by ground lessee in the Times Square neighborhood of Manhattan.
Real Estate Finance and Structured Finance
Negotiated joint venture agreement on behalf of New York based real estate developer for the development of a 313-unit residential building located on the west side of Manhattan. Negotiated for credit enhancement provided by German based lender for $82,500,000 in tax-exempt bonds and $27,500,000 in taxable bonds issued by the New York State Housing Finance Agency, the proceeds of which were used to finance construction.
